Terms of Use & Platform Licensing Agreement

1. Introduction & Agreement to Terms#

These Terms of Use ("Terms", "Agreement") constitute a legally binding agreement between DevLabs Jamaica ("DevLabs", "Platform", "we", "us", or "our") and any developer, enterprise, entity, or individual ("Customer", "User", "you", or "your") who accesses, integrates, or consumes any DevLabs API, SDK, website, geocoding service, routing engine, road matrix, or related geospatial infrastructure.

By creating an account, generating an API key, sending HTTP requests to devlabsja.com/apiv1/*, or interacting with our services in any manner, you explicitly acknowledge that you have read, understood, and irrevocably agreed to be bound by these Terms in full. If you do not agree to every provision in this Agreement, you are strictly prohibited from accessing our APIs and must cease all usage immediately.

2. Absolute Prohibition on Data Storage, Caching, and Harvesting#

DevLabs invests substantial computational, cryptographic, and algorithmic resources into curating, indexing, topologically verifying, and calculating low-latency Jamaican spatial datasets. To preserve the integrity and proprietary value of our spatial infrastructure, the following restrictions apply unconditionally:

1. No Local or Remote Database Storage: You shall not copy, extract, export, save, persist, or replicate any response data—including but not limited to latitude/longitude coordinates, waypoint sequences, route geometries, polyline strings, bounding boxes, distance matrices, landmark descriptions, postal identifiers, and geocoded points—into any SQL database, NoSQL datastore, key-value store, parquet file, CSV, vector index, or local file system.
2. Strict Ephemeral In-Flight Cache Exemption: You may cache response objects strictly in volatile client device memory (RAM) solely for the immediate, in-flight navigation or active visual rendering of an active user session, for a duration not to exceed one (1) hour. Any retention exceeding one hour, or any persistence across user sessions or application restarts, is an intentional violation of this license.
3. No Harvesting, Scraping, or Coordinate Fuzzing: You are strictly forbidden from executing automated scripts, scrapers, crawlers, recursive grid-scanners, or algorithmic coordinate sweeps intended to systematically probe or reconstruct our spatial datasets, road graphs, or territorial address indexes.
4. No Creation of Derivative Mapping Datasets: You shall not use DevLabs response data—directly or indirectly—to train, validate, enrich, fine-tune, benchmark, or verify any third-party GIS layer, routing solver, geocoder, road network database, artificial intelligence (AI) model, machine learning (ML) system, or competing navigation platform.
5. No Resale, Syndication, or Sub-Licensing: You may not bundle, broker, resell, lease, sublicense, distribute, or expose raw DevLabs API responses to external third parties without a separate written Enterprise Licensing Agreement signed by DevLabs executive management.

3. Intellectual Property Rights & Ownership#

DevLabs retains all right, title, interest, and intellectual property—including all registered and unregistered copyrights, patents, trade secrets, trademarks, graph topology indices, route optimization algorithms, edge caching hierarchies, and software designs—in and to the DevLabs Platform and all data generated therefrom.

Your subscription grants you a non-exclusive, non-transferable, revocable, strictly limited license to submit programmatic queries to DevLabs endpoints and display the resulting calculations to end users in real-time. No title or intellectual property rights are transferred to you under any circumstances.

4. Account Security, API Keys, and Tenant Quotas#

• API Key Confidentiality: You are solely responsible for safeguarding your secret live API keys (lw_live_...). You must never commit API keys to public repositories or expose them in insecure client-side source code.
• Multi-Factor Authentication (2FA): All console sessions are protected by time-limited 6-digit email verification codes. You agree to maintain an active, secure email address and to immediately report any unauthorized access to your account.
• Tenant Limits and Fair Usage: Standard accounts are subject to configured hourly, monthly, and project limits. Attempting to bypass limits through automated account creation, IP rotation, proxy pools, or coordinated abuse constitutes unauthorized computer access and will be prosecuted to the maximum extent permissible by law.
• Administrative Audits: DevLabs continuously analyzes endpoint traffic signatures, entropy, and spatial distribution patterns to identify anomalous bulk-download or scraping operations.

5. Billing, Invoicing, and Payment Terms#

Paid usage is calculated dynamically based on published or custom endpoint rates per 1,000 requests. Monthly billing periods close on the final day of each calendar month. Invoices are issued on the 1st of the subsequent month with a strict net-15 payment term.

Failure to remit payment within 15 days of invoice issuance results in automatic tenant account suspension. Continued non-payment past 30 days results in permanent API key revocation, forfeiture of reserved capacity, and referral to professional collections.

6. Disclaimer of Warranties & Navigation Safety#

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, DEVLABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF ROUTING DISTANCES OR ESTIMATED TRAVEL TIMES.

7. Limitation of Liability#

IN NO EVENT SHALL DEVLABS, ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR INFRASTRUCTURE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, DATA CORRUPTION, OR VEHICULAR ACCIDENTS, ARISING FROM THE USE OR INABILITY TO USE THE PLATFORM.

DEVLABS' TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT UNDER ANY LEGAL THEORY SHALL BE STRICTLY CAPPED AT THE LESSER OF: (A) THE TOTAL AMOUNT PAID BY CUSTOMER TO DEVLABS IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE CLAIM, OR (B) FIFTY UNITED STATES DOLLARS ($50.00 USD).

8. Termination & Legal Remedies#

DevLabs reserves the right to immediately suspend or permanently terminate your account, invalidate all API keys, and block incoming network traffic without advance notice if we determine, in our sole and absolute discretion, that you have breached Section 2 (Data Storage Restrictions), engaged in unauthorized scraping, or compromised platform security.

In the event of an intentional breach of our data storage restrictions, DevLabs shall be entitled to seek immediate injunctive relief in any court of competent jurisdiction without the requirement of posting a bond, in addition to pursuing all available statutory damages, legal fees, and forensic expenses.

9. Governing Law & Dispute Resolution#

These Terms and any dispute arising out of or related to this Agreement shall be governed by, construed, and enforced in accordance with the laws of Jamaica, without regard to conflict of law principles. Any legal proceeding shall be instituted exclusively in the competent courts located in Kingston, Jamaica, and each party irrevocably submits to the exclusive personal jurisdiction of said courts.
